Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between TripPortfolio AI, a Delaware corporation (“TripPortfolio,” “we,” “us,” or “our”), and the individual or organization (“you,” “your,” or “Customer”) that creates an account, accesses the platform, or otherwise uses our services. By signing up for or using TripPortfolio you agree to these Terms. If you are accepting on behalf of an organization you represent that you have authority to bind that organization.
1. The service
TripPortfolio is a multi-tenant software-as-a-service platform for travel advisors and the agencies they work for. The platform includes an itinerary builder, an AI knowledge base, a hotel and DMC quoting workflow, an invoicing and commissions ledger, a branded mobile app for clients, and an integration surface for the Claude Cowork agentic workflow. We may add, modify, or remove features over time; we will not materially degrade core functionality without reasonable notice.
2. Accounts and account responsibility
To use TripPortfolio you must create an account and provide accurate information. You are responsible for safeguarding your credentials, for all activity that occurs under your account, and for the actions of any seat you invite to your workspace. Notify us immediately at security@tripportfolio.ai if you suspect unauthorized access. The workspace owner may add, remove, and assign roles to other seats; we treat instructions from any seat with appropriate role permissions as authorized by the organization.
3. Acceptable use
You agree not to use TripPortfolio to: (a) violate any law or the rights of any third party, including intellectual property and privacy rights; (b) upload or transmit malware, exploit code, or content intended to disrupt the service or other users; (c) attempt to circumvent authentication, scraping, rate-limiting, or other security controls; (d) reverse engineer the platform except to the extent permitted by law; (e) resell or sublicense the service except as expressly permitted; (f) use the service to send unsolicited marketing email in violation of CAN-SPAM, CASL, or comparable laws; or (g) use AI-generated content in a way that would mislead clients about the human review applied to their itinerary.
4. Customer data and intellectual property
Your data is yours.You retain all right, title, and interest in the trip itineraries, client records, quotes, invoices, documents, conversations, and any other content you or your seats upload to or generate within the platform (collectively, “Customer Data”). You grant us a limited, worldwide, non-exclusive license to host, copy, transmit, and display Customer Data solely as needed to provide the service to you.
Our platform is ours. We retain all right, title, and interest in the TripPortfolio software, user-interface designs, brand marks, documentation, training data, models we own or license, and all derivative works of any of the foregoing. Nothing in these Terms grants you a license in our intellectual property except the right to use the service as documented during the term of your subscription.
Feedback. If you give us suggestions for improving the platform, we may use them without restriction and without owing you compensation.
5. Subscriptions and payment
Paid plans are billed monthly or annually in advance through Stripe. Fees are non-refundable except where required by law, and we do not pro-rate partial months. You may upgrade, downgrade, or cancel from your billing settings; downgrades take effect at the end of the then-current billing period. We may change prices on at least thirty days’ notice; the new price applies on your next renewal. If a payment fails we will attempt to collect for up to fourteen days before suspending the workspace.
Free trial. Workspaces created from the marketing site begin with a fourteen-day free trial. No credit card is required to start the trial; after it ends the workspace becomes read-only until a paid plan is selected.
6. Third-party services
The platform integrates with third-party services (for example Claude Cowork, Stripe, Google Cloud, Resend, hotel and DMC content providers). Your use of those services is also governed by their terms and privacy notices. We are not responsible for third-party services and they may change or become unavailable at any time.
7. Termination
You may cancel your subscription at any time from billing settings. We may suspend or terminate your access if you materially breach these Terms (including non-payment), if required by law, or if your continued use poses a security risk to other customers. On termination you may export your Customer Data for thirty days; after that we will delete it from primary systems and from encrypted backups in line with our Privacy Policy.
8. Disclaimers
The service is provided “as is” and “as available.” To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated suggestions are drafts that require advisor review; we do not warrant their accuracy, completeness, or suitability for any client. Travel itself is provided by suppliers (airlines, hotels, DMCs, ground operators, etc.) and is governed by their own terms; we are not a travel agent or seller of travel.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or business opportunities, arising out of or related to these Terms. Our total liability for any claim arising out of or related to the service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim, or one hundred US dollars, whichever is greater.
10. Indemnification
You will defend, indemnify, and hold harmless TripPortfolio from any third-party claim arising out of (a) your or your seats’ violation of these Terms, (b) your Customer Data infringing the rights of a third party, or (c) your use of the service in violation of applicable law. We will defend, indemnify, and hold you harmless from any third-party claim that the platform, when used as authorized, infringes a US patent, copyright, or trademark.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the service will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to personal jurisdiction there. The parties waive any right to a jury trial. The UN Convention on Contracts for the International Sale of Goods does not apply.
12. Changes to these Terms
We may revise these Terms from time to time. Material changes will be communicated by email to the workspace owners on file and surfaced in the product at least fourteen days before they take effect. Your continued use after the effective date is acceptance of the revised Terms.
13. Miscellaneous
These Terms, together with our Privacy Policy and any order form referencing them, are the entire agreement between you and TripPortfolio about the service. If any provision is held unenforceable the remainder will continue in full force. Our failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of substantially all our assets.
